Catering Temples Ltd Terms of Business

For the Placement of Permanent and Temporary Freelance Staff


1. Definitions

1.1 In these Terms of Business, the following definitions apply:

  • “Candidate” refers to the individual introduced by Catering Temples Ltd to the Client.
  • “Client” refers to the individual, firm, or corporate entity (including any subsidiary or associated company as defined under the Companies Act 2006) to whom the Candidate is introduced.
  • “Agency” refers to Catering Temples Ltd, headquartered at [insert company address].
  • “Placement” refers to the engagement, employment, or utilization of the Candidate by the Client or any third party on either a permanent or temporary basis.
  • “Introduction” refers to the provision of information to the Client that identifies the Candidate and results in their engagement by the Client.
  • “Compensation” includes base salary, fees, anticipated bonuses, commissions, allowances, inducements, and any other financial remuneration payable to the Candidate.

1.2 Unless otherwise stated, references to the singular include the plural, and references to the masculine include the feminine.

1.3 The headings in these Terms of Business are for convenience only and do not affect the interpretation of these terms.


2. The Agreement

2.1 These Terms form the contract between Catering Temples Ltd and the Client. Acceptance of a Candidate by the Client constitutes acceptance of these Terms.

2.2 The Client agrees to:

  • 2.2.1 Notify the Agency immediately upon making an offer of engagement to a Candidate.
  • 2.2.2 Settle the Agency’s fees within 30 days of invoice issuance. Failure to pay within this timeframe will result in the matter being referred to creditors, unless prior arrangements have been made. For permanent placements of freelance Candidates, the Client shall pay the fees as notified. Applicable VAT will be added to the fee.

2.3 If the Client or its affiliates engage or re-engage the Candidate within 12 months following the termination of their engagement or withdrawal of an offer, a full fee (as per clause 2.3.1) will be due.

  • 2.3.1 A tiered fee structure applies to permanent employment: £85.00 per week for 13 weeks, followed by a fixed fee of £1,000.00 at the conclusion of this period.

2.4 The Client agrees to sign the Candidate’s timesheet weekly to verify hours worked. Additional expenses, such as holiday pay, travel, and accommodation, will be itemized on the Agency’s invoice where applicable. The Agency’s working week is Monday to Sunday.

2.5 The Agency assumes no responsibility for the deduction of statutory contributions, including Income Tax and National Insurance, which remain the responsibility of the Client (for permanent engagements) or the Candidate (for temporary engagements).

2.6 Candidates must provide proof of self-employment registration within three months of registration with the Agency. If the Candidate fails to make statutory payments, the Agency reserves the right to reclaim these from any money owed to the Candidate.

2.7 The Client is responsible for covering one-way travel expenses for Candidates traveling from outside their county of residence. The Client and Candidate may decide on payment terms based on hours or mileage.


3. Liability

3.1 Candidates provided by the Agency are under the Client’s supervision and control during assignments. The Client assumes responsibility for all actions, errors, or omissions of the Candidate. The Client must also ensure appropriate Public Liability Insurance coverage.

3.2 While the Agency strives to ensure Candidates meet standards of skill, integrity, and reliability, it accepts no liability for loss, expense, damage, or delay resulting from a Candidate’s actions during their engagement.

3.3 The Client must provide at least 24 hours’ written notice to cancel any booking. Failure to do so will result in a charge equivalent to one half-day’s labor per Candidate at the agreed rate.

3.4 The Client agrees not to engage a temporary freelance worker on a permanent or temporary basis without notifying the Agency and paying the corresponding fee.

3.5 Candidates may substitute themselves with an equally qualified individual vetted by the Agency.

3.6 If a Candidate fails to complete a job, they forfeit their right to payment for that day, and the Client will not be charged.

3.7 Candidates must maintain confidentiality regarding the Client’s operations, personnel, or strategies both during and after their engagement. Candidates are prohibited from contacting any Client for whom they worked through Catering Temples Ltd for a period of 12 months after leaving the Agency.

3.8 Any booking by a Client constitutes full acceptance of these Terms. The Terms become effective once the Candidate arrives on site unless the Client cancels, in which case clause 3.3 applies.

3.9 The Client agrees to pay the Candidate at the agreed rate, with double time applied for work on bank holidays unless otherwise agreed in writing.


4. General

4.0 No changes to these Terms and Conditions are valid without written consent from a director of Catering Temples Ltd.

4.1 These Terms are governed by the laws of England and Wales and are subject to the exclusive jurisdiction of the courts of England and Wales.
